PARTS AND SERVICES COMMITMENT TERMS AND CONDITIONS
1. Parts Overview. The Parts and Services Commitment Program (“Program”) is designed to guarantee parts availability for eligible Cat machines covered under a Client Value Agreement (“CVA”) and service completion for eligible Cat machines under a CVA with labor, all as more particularly described in these Terms and Conditions (the “Terms”). Empire reserves the right to revise these Terms from time to time in its sole discretion.
2. Parts Commitment. Subject to the limitations set forth in these Terms, for eligible Cat machines covered under an Empire CVA, if eligible parts ordered by the client are not available at a designated Empire parts location the same day or when you say (if later availability is desired), Empire will reimburse the price paid by the client for the eligible part (up to $1,000 per invoice through Cat Credits (the “Parts Commitment”). Same day parts availability applies to orders placed by the client Monday-Friday before 2:00 p.m. local time. Eligible parts are limited to maintenance, wear, and common repair parts (as determined by Empire from time to time) not already covered through warranty or an Equipment Protection Plan (“EPP”).
3. Services Commitment. Subject to the limitations set forth in these Terms, for eligible Cat machines covered under an Empire Pro CVA with labor, if eligible services are not completed within two days (for services that can be completed within two days as determined by Empire) or as promised (for services that require more than two days to complete as determined by Empire), Empire will reimburse the price paid by the client for the eligible services (up to $1,000 per invoice) through Cat Credits (the “Pro Services Commitment”). Subject to the limitations set forth in these Terms, for eligible Cat machines covered under an Empire Plus or Empire Premium CVA with labor, if eligible services are not completed as promised, Empire will reimburse the price paid by the client for the eligible services (up to $1,000 per invoice) through Cat Credits (the “Plus and Premium Services Commitment”). The Pro Services Commitment and the Plus and Premium Services Commitment are referred to collectively herein as the “Services Commitment.” Common repairs (both field and shop) are eligible for the Services Commitment, but inspections and preventative maintenance are excluded. Common repairs are those typically requiring twelve labor hours or less as determined by Empire. Work requiring more than two days to complete (as determined by Empire) will be provided a promised completion date. The Services Commitment is valid only within Empire’s service territory. Clients with a machine under warranty or EPP are eligible for the Services Commitment, however, they are not entitled to credits for parts covered under warranty.
4. Eligibility. The Program is eligible for new and renewed CVAs sold from January 2026 and after, as long as the Program is in effect. Non-Cat machines are excluded. Electric Power Products, Authorized Sales and Services Centers, and Work Tool Repairs (even if the machine has a CVA with labor) are excluded. If a machine moves outside of Empire’s service territory, continued eligibility in the receiving dealer’s service territory is dependent on registration of a new CVA with that dealer.
5. Credits. Cat Credits are typically issued within two to three weeks and can be used for parts, service, work tools, rentals, and purchases from authorized vendors. Expiration dates on Cat Credits vary; clients should check the e-Certificate details to determine the applicable expiration date. Cat Credits cannot be used for new machine sales. Clients may receive either a parts credit or a services credit per work order, not both. Credits are capped at $1,000 per qualifying event/invoice. Cat credits are subject to all terms and exclusions adopted by Caterpillar from time to time.
6. Timing. For the Parts Commitment, the clock starts when client orders the part and ends when the applicable part arrives at the designated Empire parts location. For the Services Commitment, the clock starts when the client authorizes the service. Client authorization means the client has acknowledged the need for the service, agreed to the associated costs, and authorized Empire to proceed. The clock for service completion stops when the work is complete, not at the last labor hour.
